Diligence Readiness

Know what a buyer will find before a buyer finds it.

Verelume ingests your contracts, financials, and operating records and reports what the record supports, where documents conflict, and where claims have no documentation behind them. That is exactly what buy-side diligence tests.

What is your business worth?

See what the published record says about businesses like yours, including where the sources disagree.

FreeNo signupTwo questions

For owners preparing to sell or raise capital, and the brokers and M&A advisors who guide them.

The problem

The gaps you cannot see are the ones a buyer will.

A business accumulates years of contracts, decisions, and records, and they fragment faster than anyone can hold in their head. When a sale or capital raise puts that record under scrutiny, the gaps and contradictions surface at the worst possible time.

Records are scattered

Contracts, financials, and decisions live in email, drives, accounting systems, and people's memory. No single place holds what the business can actually prove.

Answers depend on who you ask

The person who remembers has moved on, is busy, or recalls it differently. Under diligence, a buyer wants the record, not a recollection.

Search returns documents, not conclusions

Keyword and file search surface a pile of results. They do not tell you what was agreed, by whom, or whether the record even supports the claim being made.

How it works

From scattered records to findings you can act on.

  1. 01

    Bring in the records

Connect the contracts, financials, and operating documents a buyer would ask for.

  2. 02

    Map people, decisions, documents

Verelume structures the record so agreements, approvals, and history are linked.

  3. 03

Ask the questions a buyer will

Ask what the record supports, in plain language, before someone else does.

  4. 04

    Review evidence-backed findings

Each answer carries its sources, and flags conflicts and undocumented claims.

The evidence model

An answer you can trust tells you what it is built on, and when it cannot answer.

Verelume distinguishes three states rather than always asserting a conclusion. In a sale, that restraint is the product: a claim the record cannot support is exactly what a buyer will challenge, so it is better to find it first.

Supported

Why was our largest customer contract renegotiated last year, and who approved the new terms?

The contract was extended in exchange for a volume discount after the customer signaled a competitive bid. The new terms were approved by the board and executed in a signed amendment.

What the record does not establish
It does not establish the revenue impact of the discount; the financial model behind the decision was not among the records provided.
Conflicting

Which version of the supply agreement with our main vendor is currently in force?

Two credible versions disagree. A signed 2023 master agreement sets a 3-year term; a 2024 amendment in the shared drive changes pricing and references a 5-year term, but no fully executed copy is on record. Neither clearly governs.

Conflicting: 2023 vs. 2024 versions
What the record does not establish
The record contains no countersigned amendment, so which pricing and term govern is unresolved. Verelume surfaces both and flags the conflict rather than choosing one.
Insufficient Evidence

The owner says a key customer is locked into a three-year exclusive supply commitment. Is that documented?

The available records do not contain any signed exclusivity or multi-year commitment for that customer. Purchase orders exist, but nothing establishes an exclusive or ongoing obligation.

What the record does not establish
Verelume does not infer the commitment from the relationship. It reports that the record cannot support the claim, and points to exactly what a buyer would ask for, so it can be produced or corrected before diligence.

What you keep after the deal

The organized record is yours to keep.

Diligence readiness is the first job. The lasting one is organizational intelligence: the same connected record that answered a buyer’s questions keeps answering yours, so decisions, context, and history stay retrievable as the business grows or changes hands.

  • Keep an organized data room you can reuse for the next raise or sale
  • Preserve the reasoning behind decisions as people and owners change
  • Give new leadership a faithful account of what came before

Who it's for

Two sides of the same deal.

Verelume is built for the people preparing a business for scrutiny, and for the advisors who do it again and again.

Owners preparing to sell or raise

Founders and owners in the lower middle market getting ready for a sale, recapitalization, or capital raise, who want to walk into diligence knowing exactly what the record proves and where it does not.

Business brokers and M&A advisors

Brokers and advisors running multiple deals a year, who need every sell-side client organized the same way, with gaps and conflicts surfaced early instead of in the middle of a live deal.

Where buyers are active

Some sectors are being bought up faster than others.

In these sectors the buyer is often a platform that has done this many times and arrives with a repeatable diligence process. We publish what the sources say about each one, including where they disagree and where they say nothing. The same record serves the business long after a deal closes.

For 11 of these sectors we read the publishers behind the valuation figures and wrote up what they actually report. Most of them disagree with each other. One says almost nothing at all.

Security

Your records stay yours.

Verelume is built so each organization's data is separated and access is authenticated. We describe our controls plainly and separate what is in place today from what is planned.

  • Organization-level data separation
  • Private storage; authenticated access only
  • Encryption in transit and at rest via our infrastructure
